Platform Partner Terms

These terms apply when you build a product on portablemind and offer it to your own customers, whether under your brand, as a white-label deployment, or as part of a larger offering.

This document describes our current practices in plain language. It is not legal advice.

How these terms fit

These terms supplement our Terms of Service, which continue to apply. Where the two conflict on partner activity, these terms govern. A signed agreement between you and Portablemind LLC overrides both where it says so.

In these terms:

  • Services means the portablemind platform, including its agents, orchestrations, APIs, and white-label features.
  • Partner Application means a product or service you offer to others that uses or incorporates the Services.
  • End Users means the people and organizations who use your Partner Application.

What you may build

While you are in good standing, we grant you a non-exclusive, non-transferable right to incorporate the Services into Partner Applications, make them available to End Users, and present them under your own brand. You may use our APIs, agents, orchestrations, and white-label features for this purpose, within your plan limits.

Your application must add real value

Each Partner Application must:

  • Provide substantial functionality and value beyond the Services, aimed at a defined use case, industry, or market.
  • Not offer the Services, or any substantial part of their agent, orchestration, or API functionality, as a standalone or general-purpose product.
  • Not give End Users direct API access, general agent-building, or orchestration-authoring capabilities that let them use the Services generally, unless we agree in writing.
  • Comply with the “Building on portablemind” section of our Terms of Service, including the prohibition on building a competing product. A Partner Application that meets the requirements above is not a competing product.

A customer support product, a practice-management system, or an industry workflow tool built on our agents is the kind of application we want. A product whose main purpose is to resell access to AI agents or orchestration under another name is not.

Protecting the platform

You agree not to:

  • Export, copy, or port agent configurations, prompts, or orchestration templates that we supply into any system other than the Services.
  • Circumvent or interfere with metering, rate limits, plan limits, or tenant isolation, including by pooling many customers into one account to avoid limits.
  • Use your partner access to obtain non-public information about the Services for use outside this relationship.

Branding

You may present the Services under your own brand, and we will not show portablemind branding to your End Users where the white-label features support it. You may not use our name, logo, or marks without our written approval. You may not claim ownership of the technology underlying the Services, or register names, marks, or domains confusingly similar to ours.

Your End Users

You are responsible for your End Users and your relationship with them. In particular:

  • You must have terms with your End Users that protect the Services at least as well as these terms and our Terms of Service, including their restrictions on reverse engineering, competitive use, and acceptable use.
  • You provide first-line support to your End Users. We support you.
  • You are responsible for giving End Users any privacy notices and obtaining any consents the law requires for your Partner Application.
  • You are responsible for your End Users’ compliance, and for their activity under your account.

Usage and fees

All End User usage runs through your account and is metered and billed under your plan or partner agreement. You owe fees for that usage whether or not your End Users pay you. You set your own prices to End Users.

Data

Content that you and your End Users put into the Services belongs to you or them, as the Terms of Service describe. We process it only to provide the Services and act as your service provider for it. We will sign a data processing agreement on request. We may use aggregated usage metrics, never content, to operate, secure, and improve the Services.

Review and suspension

On reasonable notice, we may ask you to describe or demonstrate how a Partner Application uses the Services, and to provide usage information. If we believe a Partner Application does not comply with these terms, we will tell you and give you 30 days to fix it. We may suspend a Partner Application immediately where it threatens the security or integrity of the Services, involves unlawful use, or breaches the prohibitions on building a competing product or on copying or reverse engineering the Services.

Confidentiality

Non-public information we share with you, including roadmaps, pricing, prompts, templates, and technical details, is confidential. Use it only for your Partner Application, protect it with reasonable care, and do not disclose it except to people who need it for that purpose and are bound to keep it confidential.

Ending the relationship

Either party may end partner status on 30 days’ written notice. Either party may also end it by written notice if the other commits a material breach and does not fix it within 30 days of being told about it. When partner status ends, your right to offer Partner Applications ends. On request, we will allow a wind-down period of up to 60 days, during which fees continue, so you can move your End Users, and we will work with you to export your End Users’ content during that period.

After partner status ends, the restrictions in these terms continue to apply only to confidential information and to materials you obtained through the Services. They do not prevent you from building products independently.

Responsibility for claims

You will defend and indemnify Portablemind LLC against third-party claims arising from your Partner Application, your terms with End Users, or your breach of these terms, except to the extent a claim arises from the Services themselves. The disclaimers, limitation of liability, and governing law in our Terms of Service apply to these terms.
